Terms and Conditions of Sale

1. General
These Terms and Conditions apply to all sales of goods supplied by [Company Name] (“the Seller”) to the customer (“the Buyer”). By placing an order, the Buyer accepts these Terms.

2. Trade Sales Only
The Seller supplies goods for trade and business purposes only.

3. Prices
All prices are exclusive of VAT and delivery charges unless otherwise stated. Prices may be amended without notice prior to order acceptance.

4. Payment Terms
Payment is due strictly within 30 days from the invoice date unless otherwise agreed in writing.

The Seller reserves the right to:

  • suspend deliveries or cancel orders for overdue accounts;

  • charge interest and recovery costs on late payments in accordance with applicable legislation.

The Buyer is responsible for verifying any change of bank details directly with the Seller.

5. Delivery
Delivery dates are estimates only and time shall not be of the essence. Risk in the goods passes to the Buyer upon delivery.

The Buyer must inspect goods upon delivery and notify the Seller within:

  • 48 hours for shortages or damage;

  • 7 days for defects or incorrect goods.

Additional charges may apply for failed deliveries.

6. Retention of Title
Ownership of the goods shall remain with the Seller until all invoices are paid in full. The Seller reserves the right to recover unpaid goods.

7. Returns
Returns will only be accepted with prior agreement and may be subject to handling charges. Special order items are non-returnable.

8. Liability
The Seller’s liability shall be limited to the value of the goods supplied. The Seller shall not be liable for indirect or consequential losses.

9. Force Majeure
The Seller shall not be liable for delays or failure caused by events beyond its reasonable control.

10. Governing Law
These Terms and Conditions are governed by the laws of England and Wales and subject to the exclusive jurisdiction of the English courts.
